Clear rules before the first request
Watad is operated by Formendure Company.
These terms govern your use of the Watad website, app and web portal. By using any of them you accept these terms and the privacy policy.
01Who we are and what we offer
- Watad is an online platform operated by Formendure Company (Commercial Registration 7055152826) that organizes requests for quotation for building materials between buyers and verified suppliers and follows their fulfilment.
- Watad is a technology intermediary: the supplier is the seller of the materials and responsible for them. Watad is not a seller, manufacturer or carrier, and does not guarantee the materials, their description or their delivery on the supplier’s behalf except where these terms say so expressly.
02Your account
- You must be 18 or over and legally able to contract. If you act for a business, you confirm that you are authorized to bind it.
- Each account has one type, buyer or supplier, which cannot change once confirmed. A supplier is a business with a valid commercial registration and receives no requests before it is approved.
- You are responsible for keeping your details accurate and current, and for everything done through your account and its sessions. Never share a verification code, sign out on shared devices, and tell us at once about any unauthorized use.
- We may ask for further verification and may refuse a registration or an approval that does not meet our requirements.
03Requests and offers
- The buyer is responsible for an accurate description, quantities, location, dates and attachments, and for the right to use them.
- The supplier is responsible for an accurate offer, honoured for its whole validity, and for the materials’ conformity, quality, safety, licences and legal warranties.
- Choosing and paying for an offer creates an obligation between the buyer and the supplier on the terms shown before confirmation.
- Dealing outside the platform to avoid its fees or protections, once the platform has brought the parties together on a request, is prohibited.
04Payment, fees and invoices
- Payments are processed by a licensed payment provider; card details are entered with the provider directly and Watad does not store them. A payment is complete only once the provider confirms it and Watad matches it.
- Watad charges the supplier a commission of 5% of the order total, shown before the supplier commits. Any other fee is shown before you commit to it.
- A supplier’s dues are settled after the order is completed by the settlement method shown to it, and a settlement is not complete until confirmed.
- A VAT-registered supplier issues its own tax invoice. The order statement Watad issues is not a tax invoice.
- Cancellations and refunds follow the order status shown, the returns policy in the app and dispute decisions, without prejudice to statutory consumer rights.
05Delivery and disputes
- The supplier delivers conforming materials at the agreed place and time; the buyer receives and inspects them without delay.
- If something differs, open a dispute within the period shown in the app, with a description and evidence. The Watad team reviews the evidence and decides under these terms, and both parties carry out the decision, without prejudice to either party’s right to go to the competent authorities.
06Acceptable use
Fraud, impersonation, manipulating prices, offers or delivery proof, uploading unlawful or harmful content or infected files, accessing others’ data or attempting to breach the service, using automated tools to collect data or flood the service, and using the parties’ data for anything but the transaction are prohibited. We may temporarily refuse repeated requests and may suspend or restrict an account that breaks these rules.
07The web portal
The portal lets suppliers and Watad Business companies use the service from a browser with the same account. A session ends after 60 minutes without activity or 7 days after sign-in; sections may open gradually, and a section not yet available stays in the app. Files must be of the types and sizes shown on each page and are scanned before they become available.
08Electronic records and notices
You agree to contract and communicate electronically. Your approvals in the service, the verification code sent to your number and Watad’s records are evidence of transactions and approvals under the Electronic Transactions Law. We send notices through the app, messages or your registered email.
09Content and intellectual property
- What you upload remains yours; you grant Watad a non-exclusive licence to use it and show it to the parties concerned as needed to provide and protect the service and to meet legal obligations.
- Watad’s name, logo, designs and software belong to it or are licensed to it and may not be used without written permission.
10Limits of liability and indemnity
- The service is provided as available and may pause for maintenance, a provider outage or events beyond our control. We promise neither uninterrupted availability nor a commercial result.
- Watad is not liable for the materials, their quality or delivery, or any commitment one party makes to another, nor for indirect or consequential loss, lost profit or lost data.
- To the extent the law allows, Watad’s total liability for any claim does not exceed the commission or fees Watad collected on the order concerned.
- You will indemnify Watad against any claim or loss arising from your breach of these terms, the law or others’ rights, or, if you are a supplier, from the materials you sell.
- Nothing above limits liability that cannot lawfully be excluded, such as for fraud or gross negligence, or mandatory consumer rights.
11Suspension and termination
- You may delete your account from the app or the portal.
- We may suspend, restrict or close an account for a breach, suspected fraud, a security risk or a lawful request, taking open orders into account.
- Deletion or termination does not cancel existing obligations or records that must be kept.
12Changes and governing law
- We may change these terms; we publish the version and its date and tell you in the service about any material change before it takes effect. Continuing to use the service after it takes effect means you accept it.
- These terms are governed by the laws of the Kingdom of Saudi Arabia. Any dispute goes to the competent courts in Riyadh after an attempt to settle it amicably through support, unless the law provides otherwise.
- The Arabic text prevails over any translation. If a provision is invalid the rest remain in force; not enforcing a right is not a waiver; and Watad may transfer its rights and obligations to a successor.
